By using www.irnippon.com or transacting with IR Nippon you agree to these terms. If you do not agree, please do not use the site or our services.

We may update these terms from time to time. The "Last updated" date above reflects the current version. Material changes affecting existing orders will be communicated in writing before they take effect for that order.

Vehicle and machinery listings are based on the information available at the time of publication. Stock availability, mileage and condition can change between inspection and shipment. Prices are quoted FOB Japan unless explicitly stated CIF or C&F, and are subject to written confirmation at the time of order.

Submitting an inquiry through the website does not constitute a binding offer or a reservation of stock. A sale is concluded only once we issue a written Proforma Invoice and receive your deposit.

• Deposits of 30% are typically required to reserve a unit.
• Balance is due before Bill of Lading release.
• Payments are made by bank wire to our verified company account.
• Bank charges on the sender side are payable by the buyer.

Every unit clears our internal 300-point inspection. Independent inspection by JEVIC or JAAI is available on request, at the buyer's cost. Vehicles are second-hand and sold "as inspected"; minor cosmetic wear consistent with age and mileage is not a defect.

Risk transfers to the buyer when the goods pass the ship's rail in the Japanese port of loading, in line with Incoterms 2020 FOB. We arrange RoRo, container or air freight on request. Sailing schedules and ETAs are provided by carriers and are not guaranteed.

The buyer is responsible for verifying that the goods are eligible for import into the destination country, and for paying all duties, taxes, registration and compliance fees. IR Nippon does not guarantee homologation in any specific jurisdiction.

Cancellations after the Proforma Invoice has been issued are subject to a handling fee covering inspection, storage and re-listing costs. Once the unit has been loaded onto the vessel, cancellation is not possible.

To the maximum extent permitted by law, our liability arising from any single transaction is limited to the FOB invoice value of the goods. We are not liable for indirect, consequential, demurrage or business-interruption losses.

These terms are governed by the laws of Japan. The competent courts of Tokushima, Japan, have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer protection in the buyer's country of residence.

All sales are subject to applicable Japanese export-control laws (including the Foreign Exchange and Foreign Trade Act) and to international sanctions regimes administered by the UN, EU, UK, US (OFAC) and Japan (METI). The buyer warrants that it is not a sanctioned person, is not acting on behalf of one, and will not re-export the goods to a sanctioned destination or end-user. We reserve the right to refuse, suspend or cancel any order that triggers a sanctions hit or fails our screening checks, and to refund the deposit minus reasonable handling costs.

For orders above standard thresholds we may request KYC documentation, company registration, beneficial-ownership information, government-issued ID and proof of the source of funds, in line with FATF guidelines and Japanese AML rules. Orders cannot proceed until verification is complete. We do not accept cash, cryptocurrency or third-party payments.

Personal data submitted through the site or during a transaction is processed in accordance with our Privacy Policy, the Japanese Act on the Protection of Personal Information (APPI), and, where applicable, the EU/UK GDPR. Buyers in those jurisdictions have rights of access, correction, deletion, portability and objection, and may contact us at info@irnippon.com to exercise them.

Quotations, Proforma Invoices, contracts and shipping documents may be issued, signed and exchanged electronically (including via PDF, email confirmation, or recognised e-signature platforms). The parties agree that such records are admissible and have the same legal effect as paper originals under the Japanese Act on Electronic Signatures and the UNCITRAL Model Law on Electronic Commerce.

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, civil unrest, strikes, pandemics or public-health measures, port and customs closures, cyber-attacks, large-scale cloud or telecom outages, sanctions, and government acts. The affected party will notify the other promptly and use reasonable efforts to mitigate the impact.

We may use automated tools, including AI-assisted translation and listing enrichment, to help prepare website content. Final pricing, vehicle specifications and contract terms are always reviewed and confirmed by a human team member before they become binding. AI-generated text on this site is informational and does not replace the official Proforma Invoice.

If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force. You may not assign your rights or obligations under a confirmed order without our prior written consent.
